These Terms apply only to the public Site. They do not govern access to or use of the Cove Lane Health platform, products, services, data, or any customer or user accounts. Access to the Cove Lane Health platform is governed exclusively by the written agreement between Cove Lane Health and your organization, including the applicable Order Form and the Master Subscription and Data Services Agreement. If there is any conflict between these Terms and a signed agreement with Cove Lane Health, the signed agreement controls.

2. Permitted Use

You may view and browse the Site for your own informational and business-evaluation purposes. You may not: (a) copy, scrape, harvest, crawl, or systematically extract content or data from the Site, whether manually or by automated means; (b) interfere with or disrupt the Site, its servers, or its security features; (c) attempt to gain unauthorized access to any portion of the Site or any Cove Lane Health systems; (d) use the Site to develop, train, or improve any competing product or dataset; (e) frame, mirror, or republish the Site or its content; or (f) use the Site in violation of applicable law.

You may not submit sensitive personal information, protected health information, patient information, claims data, confidential customer data, or product data through the public Site.

3. Intellectual Property

The Site and all content on it, including text, graphics, logos, page designs, and the Cove Lane Health name and marks, are owned by Cove Lane Health or its licensors and are protected by intellectual property laws. These Terms do not grant you any license or right to use any Cove Lane Health trademark, logo, content, or data, except the limited right to view the Site as described in Section 2.

Content on the Site is provided for general informational purposes. It does not constitute medical, clinical, legal, tax, accounting, actuarial, benefits, investment, fiduciary, insurance, underwriting, valuation, or other professional advice, and it is not an offer or commitment to provide any product or service. Healthcare pricing information referenced or described on the Site is derived from public and third-party sources, may be incomplete, delayed, inconsistent, inaccurate, duplicated, stale, misclassified, unavailable, out of date, or subject to interpretation, and should not be relied upon for any decision without appropriate review and independent verification.

Our collection and use of information from Site visitors is described in our Marketing Website Privacy Policy, available on the Site. The Privacy Policy governs Site visitor data only; data processed through the Cove Lane Health platform is governed by the applicable customer agreement.

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED AVAILABILITY. WE DO NOT WARRANT THAT THE SITE WILL BE ERROR-FREE OR FREE OF HARMFUL COMPONENTS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COVE LANE HEALTH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, COVE LANE HEALTH’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). THIS SECTION APPLIES TO THE PUBLIC SITE ONLY AND DOES NOT MODIFY ANY SIGNED AGREEMENT BETWEEN COVE LANE HEALTH AND A CUSTOMER.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Site will be resolved exclusively in the state and federal courts located in Boston, Massachusetts, and you consent to their jurisdiction.
