1. Acceptance of Terms

By accessing or using the services provided by Cove Lane Health, Inc. ("Cove Lane Health," "we," "us," or "our") through our white-labeled portal (the "Service"), you ("User," "you," or "your") agree to be bound by these Terms and Conditions of Use (the "Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Cove Lane Health is a technology and data company focused on the healthcare industry. We utilize cloud computing services and software from verified vendors to track, process, data scrape, and redefine publicly available data for our clients. This curated data is delivered via secure transfer through our white-labeled portal, based on detailed and specifically defined requirements per the client's request.

3. User Accounts

Currently, user accounts are created solely through contact with our sales team. Cove Lane Health reserves the right to modify the account creation process in the future. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

4. Use of Service and Restrictions

You agree to use the Service solely for the purposes for which it is provided and in accordance with these Terms. You are strictly prohibited from:

  • Sharing or publishing any reports, data, login credentials, or other information curated or provided by Cove Lane Health outside of your organization as explicitly permitted under a separate signed agreement with Cove Lane Health.
  • Attempting to access or use the Service in any unauthorized manner.
  • Engaging in any activity that could disrupt, damage, or impair the operation of the Service or the systems and networks connected to it.
  • Reverse engineering, decompiling, or attempting to extract the source code of the Service.
  • Using the Service for any illegal or unauthorized purpose.

5. Intellectual Property

All intellectual property rights in and to the Service, including but not limited to the software, design, data curation processes, and the curated data itself (excluding the underlying publicly available machine-readable files), are exclusively owned by Cove Lane Health. This intellectual property is protected by applicable copyright, trademark, and other intellectual property laws. Except as expressly permitted under a separate signed Non-Disclosure Agreement and Confidentiality Agreement (NDA) with Cove Lane Health, you shall not share, reproduce, distribute, modify, create derivative works of, publicly display, or in any way exploit any intellectual property owned by Cove Lane Health.

6. Fees and Pricing

Cove Lane Health currently offers a single service tier. Specific pricing details are not publicly available and require direct contact with our sales team. By engaging with our sales team and entering into an agreement for the Service, you agree to the pricing terms outlined in that separate agreement.

7. Term and Termination

These terms shall remain in effect as long as you have an active account or are otherwise using the Service. Cove Lane Health reserves the right to suspend or terminate your access to the Service at any time, with or without cause, and without prior notice. You may terminate your use of the Service by deleting your account within the dashboard page. Upon termination, your right to access and use the Service will immediately cease.

8. No Guarantees or Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. COVE LANE HEALTH DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT THE DATA PROVIDED WILL BE ACCURATE, COMPLETE, OR UP-TO-DATE. YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

9. Service Availability

While Cove Lane Health strives to provide continuous access to the Service, we do not guarantee uninterrupted availability. We will make reasonable efforts to restore the Service as soon as possible in the event of any disruption. We do not have any specific service level agreements or uptime guarantees at this time.

10. Communication and Support

For communication and support inquiries, please contact us via email at support@covelane.health or utilize the built-in help center within the white-labeled portal to submit a support request. Cove Lane Health will use commercially reasonable efforts to respond to your inquiries in a timely manner.

11. Governing Law and Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules and Procedures. The arbitration shall be conducted in Boston, Massachusetts, in English. Judgment on the arbitration award may be entered in any court having jurisdiction.

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law principles. You and Cove Lane Health agree that any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Service shall be resolved exclusively in the state or federal courts located in Suffolk County, Massachusetts, and each party consents to personal jurisdiction and venue in those courts.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COVE LANE HEALTH, INC., NOR ITS FOUNDERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF COVE LANE HEALTH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW,

THE TOTAL LIABILITY OF COVE LANE HEALTH TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE LIQUIDATED DAMAGE CLAUSES.

THE TOTAL LIABILITY OF COVE LANE HEALTH TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE LIQUIDATED DAMAGE CLAUSES FOR THE AMOUNT YOU PAID TO COVE LANE HEALTH IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Changes to These Terms

Cove Lane Health reserves the right to modify or update these Terms at any time without prior notice. Any changes will be effective immediately upon posting the revised Terms within the Service or on our website. Your continued use of the Service after the posting of revised Terms constitutes your acceptance of the changes. It is your responsibility to review these Terms periodically. If we make material changes, we may provide you with additional notice, such as by email.

14. Entire Agreement

These Terms, together with any agreement entered into under paragraph 6 hereof, constitute the entire agreement between you and Cove Lane Health concerning the Service and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and Cove Lane Health with respect to the Service.
